Purchase agreements
Whether it is a private purchase or a commercial transaction, it is generally a good idea to prepare a written purchase agreement – whether you are the buyer or the seller. When a written purchase contract is prepared, you ensure that there is no doubt about your rights in relation to any issues that may arise in connection with the purchase.
PRIVATE PURCHASES AND BUSINESS TRANSACTIONS
A private purchase occurs when you, as a private individual, enter into a transaction with another private individual. For example, if you buy a used car from an acquaintance, this is considered a private purchase. A business transaction typically occurs when a business entity trades with another business entity, for example when purchasing goods for resale. In some cases, transactions between businesses may also be classified as private purchases.
WHAT DOES A PURCHASE CONTRACT CONTAIN?
A purchase contract is a legally binding document in which the buyer and seller agree on the terms and conditions of the transaction. A purchase agreement should include detailed information about the item sold, the price, delivery terms, and any other relevant conditions. It may also include information about warranties or disclaimers of liability.
In both private and commercial transactions, it is possible to deviate from the Danish Sale of Goods Act by agreement. This means that you may be placed in a less favourable position than the law would otherwise provide, which makes it important to be precise when entering into a purchase agreement.
At KROMANN Law Firm, we can assist you with drafting the purchase contract. We ensure a detailed agreement that clearly defines the terms of the transaction.
